Expansion of the WA Gold portfolio of MBK -must sell WA Gold -Activa in MBK for shares*
In accordance with the Termblad, MBK must acquire:
- Great Western Gold PTY LTD (GWG), the holder of an interest of 75% in the Whiteheads Gold Project JV -rental houses and other rental properties 100% in the hands of GWG (consult Appendix 1), with ~ 380 km2 Located about 80 km NE of Kalgoorlie (Whiteheads Project);
- Ark Gold PTY LTD (ARK), the holder of the Ark Gold project, consisting of two exploratory licenses that are located. 40 km southeast of Has’ Yangibana Project, 250 km northeast of Carnarvon in West -Australia (Ark Project); And
- The Gold project of DARCY consisting of 3 exploratory licenses for an area of ~ 100 km2 Besides that ‘Brockman Niobium and Heavy Rare Earths project in the East Kimberley region in West -Australia (Darcy Project)
*The proposed acquisition is subject to a satisfactory completion of mutual due diligence, which is currently underway, signing binding documentation, MBK shareholders approval under Lijststregel 7.1 and other necessary approvals, including ASX review in accordance with mention 11.1.
As a consideration for the proposed acquisition, MBK MBK shares (consideration of shares) will issue a total value of $ 2,300,000, at a share price of $ 0.014373, is the 10 -day VWAP on the date of signing the term blade. The consideration includes $ 2,000,000 for the HAS assets plus $ 300,000 for the checkout balance that GWG would hold after completion of GWG.

Charles Lew will become a member of the MBK board of directors as a non-executive director and the board has agreed to appoint Tim Gilbert, currently Chief Operating Officer at HAS, such as the new CEO of MBK after completion. As chairman of MBK, Ines Scotland remains in a non-executive role.
Mr. Gilbert is a mine engineer with more than four decades of experience in a series of senior roles in the source sector in several raw materials, including battery and basic metals, diamonds and gold. His expertise includes a series of strategic, operational, construction and technical roles for large contractors, including Theiss, as well as global mining companies, including Rio Tinto, Newmont and Gold Field Australia, where he was VP activities and previously general director, Agnew Gold Mine.
A summary of the agreed conditions for the proposed acquisition is later explained in this release.
Fast Livingstone and Whiteheads to production.
MBK started a scoping study for the deposits of Homestead and Kingsley in Livingstone. These projects have JORC 2012 Mineral Resource estimates2 From the surface of:
- 1.68mt @ 1.35 g/t au for 73.0koz au, 100% derived in Kingsley;
- A total of 1.00 MT @1.35 g/t AU for 43.4KOZ au on a house, consisting of 83% indicated – 821KT @1.37g/t au for 36.2 KOZ AU and 17% derived – 183kt @1.22 g/t au for 7.2 koz au;
Mark Cossom and Peter Lester manage the scoping study for MBK and a Mine Services Group is involved in doing the necessary pit design and technical work. Mark is a consultant geologist and was previously director of Gateway Mining Ltd and prior to that general director – geology and exploration with Doray Minerals Ltd. Peter Lester is a MBK consultant with more than 40 years of experience in the mining industry.
In addition, MBK has engaged the services of Stuart Stephens to provide Exploration Management Services for the Livingstone project, including progressive mining proposals and necessary approvals that are needed to continue with production. Stuart is a geologist and former exploratory manager at Gateway Mining with extensive experience in the WA mining and environmental regulating framework.
Since the acquisition of Whiteheads earlier this year, HAS has developed a strategy to speed up the seven leaders and blue poles to open the well. Has the start of drilling at Whiteheads in the coming weeks for a first Jorc source and small mining proposals and associated approvals.
