Ryvyl Inc (Nasdaq: Rvyl) shares rise in the after-hour session on Tuesday after the company has announced a merger agreement with RTB Digital.

What happened: Ryvyl said that it has signed a final agreement to merge with the private web3 Digital Media Saas technology company RTB Digital, also known as Round table.

RTB Digital offers complete distribution, community, publication and income for large media brands. Ryvyl will combine its digital payment infrastructure with the brand and technology of RTB Digital to speed up the turnover and distribution growth for the company’s customers.

The merger agreement is based on a pre-money companies of $ 41.25 million of the combined companies. The transaction is expected to be closed at the end of 2025. At closure, Ryvyl shareholders will have 15.15% of the combined company.

Roundtable founder James Heckman Is the CEO of the combined company, because the CEO of Ryvyl has announced its retirement. Ryvyl’s board called current CFO George Oliva As an interim -CEO and chairman during the transition period. Oliva becomes Executive Vice President of Finance and Chief Accounting Officer of the combined company.

The combined company will be a Bitcoin (Crypto: BTC) Treasury strategy while Ryvyl reinshable its activities to digital assets -infrastructure and blockchain acceptance.

“This transaction reflects a deliberate, long -term approach for integrating digital assets, and our planned merger partner promised to contribute more than $ 30 million BTC to our treasury,” Oliva said.

RYVL -Price promotion: Ryvyl -Shares Reden 39.76% in After-URS and traded at around 41 cents at the time of publication. Ryvyl had market capitalization under $ 10 million from the end of Tuesday, according to Petrol.
