Phoenix Suns minority owners Kisco WC Sports and Kent Circle Investments have filed a lawsuit in the Kanicaal van Delaware and demanded access to financial data and the claiming of mismanagement by the organization of majority owner Mat Ishbia.
The complaint, originally submitted on August 21 with a edited version that was released on Wednesday, accuses Suns Capital Group LLC of refusing to allow Inspection of Books and Financial Data. Quinn Emanuel Urquhart & Sullivan Attornneys wrote the legal challenge on behalf of the stakeholders of minorities.
Kisco started to negotiate a buy -out of his interests last September, while Kent Circle expressed “growing worries” about team management. Both investors claim that they cannot properly appreciate their interests without access to crucial financial documentation.
The lawsuit claims that management has issued a capital call of 2 June with “no prior notice” after Kisco had demanded a response to his buyout offer before 1 June. The claimants claim that this call was “part of a lever strategy to exert pressure on and to dilute the minority owners of the company”.
Kisco and knows Circle claim that the valuation per unit in the capital call was “strikingly low” compared to recent NBA franchise sale. They mention the sale of $ 6.1 billion from Boston Celtics in April and the transaction of $ 10 billion from the Lakers as proof of escalating franchise values.
The complaint suggests that Suns Capital Group “Multiple unknown silkals have entered into with other investors.” It also requires financing for the Phoenix Mercury Practice Facility, reportedly paid for the use of Suns funds without the correct disclosure of minorities owners.
The owners of minorities claim that their document requirements are authorized by the LLC agreement and “Fundamental concepts of good faith and honest trade”. They claim that management has violated equal treatment requirements for capital calls.
Ishbia bought the Suns for $ 4 billion in December 2022. The team has not yet responded to requests for comments on the allegations of court case.
