Earlier today, VisionWave Holdings, Inc. (Nasdaq: VWAV) and SaverOne 2014 Ltd. (Nasdaq: SVRE) jointly announced that they have entered into an agreement final strategic exchange agreement developing one RF-based defense and security technology platform.
The transaction includes $7.0 million in phased equity payments, payable to SaverOne, and is structured to provide for a three-phase equity exchange and strategic collaboration between the two companies.
Under the agreement, VisionWave can acquire the company
approximately 51% of SaverOne on a fully diluted basissubject to milestone achievement, regulatory approvals and customary closing conditions. VisionWave will be authorized to appoint one director to SaverOne’s board of directors in the initial investment phase, and subject to the achievement of specified development milestones, to appoint one additional director upon completion of each investment phase. SaverOne will serve as the
core operating system for specific RF-based defense and security applicationssupported by a non-exclusive worldwide license to VisionWave’s proprietary RF detection and analysis technologies for use in defense and homeland security.
Immediate expansion of the VRU platform
VisionWave and SaverOne plan to integrate VisionWave RF technologies intoSaverOne’s existing VRU (Vulnerable Road User) platformintegrating RF detection and AI-driven analytics designed to address hidden, hidden and invisible threats.
Management currently estimates that an RF-enhanced, commercially deployable solution that addresses identified covert threat scenarios can be demonstrated in calendar year 2026, subject to continued development, testing and validation. The comprehensive platform is intended to assist in environments where optical and LiDAR-only sensing systems face inherent limitations, including occlusion, cluttered terrain, adverse weather conditions and complex infrastructure environments.

The strategic collaboration aims to:

The platform is intended to support a range of defense and security applications, including:

- Battlefield and tactical situational awareness
- RF-based threat classification in complex environments
The purpose of the platform is to complement existing sensing architectures and support deployment in military, homeland security and critical infrastructure environments, subject to technical feasibility and applicable regulations.
